These Embedded Wallet Services Terms (the “Embedded Wallet Terms”) supplement and modify Emittendo’s General Terms of Service (the “General Terms”) and, where applicable, Emittendo’s Investment Services Terms (the “Investment Services Terms”). Together with the General Terms and all other applicable Terms (as defined in the General Terms), these Embedded Wallet Terms govern your access to and use of wallet functionality made available through the Services (the “Embedded Wallet Services”).
Capitalized terms used but not defined in these Embedded Wallet Terms have the meanings given in the General Terms and/or the Investment Services Terms. If there is a conflict between the General Terms and these Embedded Wallet Terms with respect to the Embedded Wallet Services, these Embedded Wallet Terms will control.
As part of our Services, Users may be able to create, access, and use a non-custodial digital wallet in order to sign transactions, fund their accounts for participation workflows, and receive, hold, and control digital assets in connection with certain features (each an “Embedded Wallet”). These Embedded Wallet Terms describe those features and the allocation of responsibility and risk in connection with the Embedded Wallet Services.
IMPORTANT: Your Embedded Wallet is intended to be non-custodial. Neither Emittendo nor Loop holds or controls your Digital Assets. If you lose access to your Credentials or your wallet is compromised, you may permanently lose access to your Digital Assets.
You acknowledge and agree that Emittendo is not the provider of the Embedded Wallet. The Embedded Wallet functionality is provided by Loop Technologies, Inc. (“Loop”), which offers a non-custodial digital wallet designed for compatibility with the Canton Network and other networks authorized by Loop.
Your use of the Embedded Wallet is also subject to Loop’s terms and conditions, which govern your relationship with Loop and your use of Loop’s platform and wallet (the “Loop Terms”):

To use wallet-enabled features in the Services, you may be required to complete wallet setup through Loop, including establishing your unique wallet address.
Access to your Embedded Wallet is controlled via credentials created through Loop’s setup flow (your “Credentials”), which may include an email address, password, and/or an encrypted passkey stored on your local device (depending on Loop’s implementation).
You acknowledge and agree that you are solely responsible for:
Do not share your Credentials with any third party. If you lose your Credentials, you may lose access to your Embedded Wallet and Digital Assets.
To the maximum extent permitted by applicable law, you acknowledge and agree that:
You may use your Embedded Wallet to sign messages and transactions as part of certain Services workflows. You are solely responsible for verifying transaction details, including addresses, networks, amounts, approvals, and any smart contract interactions.
Some transactions require network fees (e.g., validator fees / gas). You are responsible for having sufficient assets to cover required fees. Emittendo is not obligated to pay any such fees and is not liable for failed transactions due to insufficient funds or network conditions.
You acknowledge that blockchain/DLT transactions may be irreversible, and incorrect transactions may result in permanent loss.
Wallet functionality may involve third-party services, protocols, resources, and infrastructure (“Third-Party Services”), including:
These Third-Party Services are provided by third parties, not by Emittendo. Emittendo is not responsible for the operation, security, or performance of Third-Party Services, and disruptions to Third-Party Services may disrupt Embedded Wallet Services.
Use of or integration with any Third-Party Service does not imply endorsement by Emittendo.
You may not use the Embedded Wallet Services for unlawful purposes or in violation of applicable laws, including sanctions, AML laws, and laws prohibiting illegal gambling, fraud, money laundering, terrorist financing, or prohibited trade.
You also may not:
You are solely responsible for ensuring your use of wallet-enabled features is lawful in your jurisdiction. Emittendo may restrict or suspend wallet-enabled features based on location, compliance signals, sanctions risk, legal constraints, or platform policy.
The Embedded Wallet Services may experience interruptions, errors, delays, or downtime due to factors outside Emittendo’s control, including Third-Party Services, network issues, or maintenance. During downtime you may be unable to transact or access certain wallet functions.
Emittendo may modify, suspend, or discontinue wallet-enabled features at any time for security, legal, operational, or risk reasons.
Emittendo may suspend or terminate your access to wallet-enabled features immediately for suspected violations of Terms, compliance concerns, security incidents, fraud risk, or legal/regulatory requirements. Suspension of Emittendo access does not guarantee continued access to Loop services, which are governed by the Loop Terms.
You acknowledge that there are risks associated with cryptographic and blockchain/DLT technologies, networks, Digital Assets, and transactions, including:
You assume all risks in connection with your use of the Embedded Wallet Services.
To the fullest extent permitted by law, the Embedded Wallet Services are provided “AS IS” and “AS AVAILABLE,” without warranties of any kind. Emittendo disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, and that wallet-enabled features will be uninterrupted, secure, timely, error-free, or compatible with any specific network, device, or service.

Without limiting the General Terms, to the fullest extent permitted by law, Emittendo is not liable for:
Any liability limitations and caps in the General Terms apply to these Embedded Wallet Terms.
Use of wallet-enabled features may involve processing Personal Data as described in Emittendo’s Privacy Policy. Wallet addresses and on-chain transactions may be visible to network participants or public observers depending on network architecture and the nature of the transaction.
These Embedded Wallet Terms supplement the General Terms. Except where these Embedded Wallet Terms conflict with the General Terms for wallet-enabled features, the General Terms apply.
Your relationship with Loop and your use of Loop’s platform and wallet are governed by the Loop Terms at https://cantonloop.com/terms. In the event of a conflict between these Embedded Wallet Terms and Loop Terms as they relate to Loop’s platform and wallet, the Loop Terms control for Loop’s services; these Embedded Wallet Terms control for Emittendo’s wallet-enabled features and the allocation of responsibility as between you and Emittendo.
